These terms and conditions apply to all contracts between Gonzi Tech UG (haftungsbeschränkt), An der Mannsfaust 10, 60599 Frankfurt am Main, Germany («Gonzi Tech») and its customers («customer») concerning the use of the PagerDeck service.
PagerDeck is aimed primarily at companies, freelancers and public sector clients. Consumers may use the service as well. These terms therefore apply to traders and to consumers alike. Under § 13 BGB a consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. Under § 14 BGB a trader is a natural or legal person or a partnership with legal capacity who, when entering into the contract, acts in the exercise of their trade, business or profession. Provisions that apply to only one of the two groups are expressly marked as such.
Differing, conflicting or supplementary terms of the customer do not become part of the contract unless Gonzi Tech expressly agrees to them in text form. This also applies if Gonzi Tech performs without reservation while aware of such terms. This provision applies to traders only.
The version of these terms in force when the contract is concluded governs. The contract languages are German and English; where the versions differ, the German one prevails. The UN Convention on Contracts for the International Sale of Goods does not apply.
The withdrawal policy and the privacy policy apply in addition. The provider details are stated in the legal notice.

PagerDeck accepts alerts from the customer's systems and delivers them as push notifications to the devices the customer has paired. The sending system proposes an urgency. What alert level that becomes is decided by a rule chain the customer defines in their account.
Alerts reach the service through the HTTP interface or through an ingest address under in.pagerdeck.com. Scope, allowances, number of sources and retention period depend on the plan booked; the values in force are stated under pricing.
Gonzi Tech may involve third parties in providing the service, in particular data centre operators, the push services of the device platforms and the payment provider. This does not affect its responsibility towards the customer.
After registration the service may be used free of charge for 14 days. During that time no payment method is stored and nothing is charged. A separate, lower allowance applies to the trial.
The 14 days begin when the customer follows the sign-in link in the confirmation email, not when the registration form is submitted.
After the trial ends, PagerDeck accepts no further alerts unless a plan is booked. Account, sources, rules and device pairings are kept and are not deleted automatically. Alerts already received remain subject to the retention period that applied when they arrived and are deleted once it expires, as they are at any other time. Booking later re-enables the service without any new setup; existing access keys continue to apply unchanged.
The trial is not a contract for consideration. It ends when the 14 days expire, without any need for cancellation.
The presentation of plans under pricing is not a binding offer but an invitation to make one.
The customer makes an offer by selecting a plan under billing and completing the order with the payment provider using the button marked as entailing payment. The contract is concluded when Gonzi Tech confirms the booking, at the latest when the service is enabled.
Gonzi Tech stores the contract text and the essential contract data. The customer receives the contract data in text form; invoices are additionally available at any time under billing.
Concluding contracts for consideration requires legal age and full legal capacity. Anyone acting for a company warrants that they are authorised to place the order.
All amounts stated under pricing are final prices including statutory VAT; this applies to consumers and traders alike. The VAT contained is shown separately on the invoice. Where a trader from another member state of the European Union provides a valid VAT identification number during checkout, the invoice is issued without German VAT and the liability for the tax passes to them.
The price of the chosen plan as stated under pricing at the time of booking applies. Consumers are told the total price including all additional charges before they submit their contractual declaration. For subscriptions, the fee is due monthly or annually in advance, depending on the billing period chosen. Lifetime plans instead require the one-time payment shown at checkout.
Payment is handled by the payment provider Stripe. The customer enters payment details there; they do not reach Gonzi Tech. The means of payment offered by the payment provider apply.
If a charge fails, the service initially remains enabled. If payment is not made up within 21 days of the end of the period already paid for, PagerDeck accepts no further alerts after that. Account and history are kept. The statutory rules on default remain unaffected.
For subscriptions Gonzi Tech may adjust prices no more than once within twelve months in order to reflect changes in the cost of staff, energy, third-party inputs and statutory levies. Any adjustment is announced in text form at least six weeks before it takes effect. If the price increases, the customer may terminate the contract concerned by the date the adjustment takes effect, with effect from that date. The announcement points this right out. For consumers, any increase of the fee is excluded for services provided within four months of the conclusion of the contract (§ 309 no. 1 BGB).
The customer may set off only claims that are undisputed or have been established by final judgment. Traders have a right of retention only in respect of counterclaims arising from the same contractual relationship.
A Lifetime plan grants the customer an indefinite right to use the agreed PagerDeck plan in exchange for the one-time payment shown at checkout. No recurring base fee applies to the agreed scope of service. Lifetime refers to this indefinite contract duration and does not mean unlimited allowances.
The plan, features, monthly message allowances, source and device limits, retention periods and included people agreed at checkout apply. Unused monthly allowances do not accumulate. Team Lifetime from the launch offer permanently includes 25 people, including the account owner. Additional seats may be requested individually and require a separate agreement. Standard additional-seat prices for Team subscriptions do not apply to Lifetime plans. The message allowance is shared by the team.
Access is activated after full payment has been confirmed. Starting checkout only temporarily reserves a license and does not establish a paid entitlement. The advertised limit concerns the number of launch licenses available for sale, not the duration of contracts already concluded. Separate additional services or plan changes incur charges only by express agreement.
The provisions concerning recurring billing, automatic plan renewal and price adjustments do not apply to the paid Lifetime base fee. Gonzi Tech may not terminate a Lifetime contract by ordinary notice. Discontinuing or renaming a plan alone does not terminate the contract. Both parties’ statutory rights, including termination for cause, remedies for failure to perform and statutory withdrawal and refund rights, remain unaffected. The exclusion of ordinary termination does not limit suspension or termination for cause: in the event of abuse, a breach of the Acceptable use section, fraud, an unjustified payment chargeback, and use that endangers operation for other customers, Gonzi Tech may suspend the affected source or the account and terminate the Lifetime contract for cause. The procedure in the Acceptable use section applies unchanged, including immediate suspension where there is imminent danger. Any claim to a refund in that case is governed by statutory law. Discontinuation of the service does not remove these rights.
If Gonzi Tech discontinues the service as a whole or is dissolved, the Lifetime contract ends on expiry of a notice period of at least 90 days, given in text form. Until then the service remains usable to the agreed extent. For the time after the end, Gonzi Tech refunds the Lifetime fee pro rata: the fee paid at order is spread evenly over a reference period of 60 months from activation, and the share attributable to the remaining months is refunded. After 60 months there is no claim to a refund under this provision. The refund is made by the original means of payment within 30 days after the end of the contract. If the contract ends through termination for cause on account of abuse, there is no claim to a refund under this provision. The customer’s statutory claims, in particular for failure to perform, remain unaffected and are not limited by this provision. In the event of insolvency, claims are governed by insolvency law.
The provisions in this section concerning billing periods, renewal and ordinary termination by Gonzi Tech apply only to subscriptions. The Lifetime plans section additionally applies to Lifetime plans.
The contract runs for an indefinite period. There is no minimum term.
For traders it renews for the billing period chosen unless it is cancelled. For consumers it continues after the first billing period for an indefinite period only, and can then be cancelled at any time on no more than one month's notice (§ 309 no. 9 BGB). An annual plan therefore does not renew for another year against a consumer.
The customer may cancel at any time with effect from the end of the period already paid for. Cancellation is done under billing through the management provided there; text form, for instance an email to support [at] gonzi [dot] tech, is also sufficient.
The service remains fully usable until the end of the period paid for. After that PagerDeck accepts no further alerts. Account, history, sources, rules and device pairings are kept until the customer deletes them.
Gonzi Tech may terminate the contract with one month's notice to the end of a billing period. The right of both parties to terminate for cause remains unaffected. Cause exists for Gonzi Tech in particular in the event of substantial payment default, unlawful use of the service, and use that endangers operation for other customers.
The customer may delete their account themselves at any time. Doing so cancels a running subscription immediately; voluntary account deletion alone does not create a right to a pro rata refund. Statutory withdrawal, refund and other rights remain unaffected. Account, history, sources, rules and device pairings are blocked immediately and permanently removed after 30 days at the latest. That period exists so an accidental or unauthorised deletion can be undone. Encrypted database backups are overwritten in their regular cycle after 35 days at the latest. Invoice data is retained for the duration of the statutory retention periods.
For contracts concluded by distance communication, consumers have a statutory right of withdrawal of 14 days. Details, periods and consequences as well as the model withdrawal form are set out in the withdrawal policy, which forms part of these terms.
For contracts for the provision of services the right of withdrawal expires early once Gonzi Tech has fully performed the service and only started performing it after the consumer gave their express consent and at the same time acknowledged that they lose the right of withdrawal upon complete performance of the contract (§ 356(4) BGB). For a running subscription this does not normally occur during the withdrawal period.
If the consumer expressly requests that the acceptance and delivery of alerts begin before the withdrawal period expires, they owe compensation for the value of the service provided up to the withdrawal. That compensation is calculated pro rata against the total price agreed.
Traders have no statutory right of withdrawal.
The services of PagerDeck are services within the meaning of §§ 611 et seq. BGB. What is owed is operation of the service according to the recognised state of the art, not a particular result.
Whether an alert is delivered depends on circumstances Gonzi Tech does not control: on the push services of the device platforms, on the network connection of the receiving device, on its settings for notifications, focus modes and power saving, and, where alerts arrive by email, on third-party mail servers. A particular delivery time and gapless delivery are therefore not owed where the cause lies outside the sphere of responsibility of Gonzi Tech.
An availability commitment in the form of a service level agreement is only agreed if that is done expressly in text form. Absent such an agreement there is no claim to any particular availability.
Maintenance is scheduled for periods of low load where possible and, where it is foreseeably going to cause an interruption, announced in advance.
The customer is expressly advised: PagerDeck is no substitute for installations and alerting paths prescribed by statute, standard or official requirement, in particular not for fire alarm, intrusion alarm and emergency call systems and not for alerting paths in emergency services. The service must not be used as the only alerting path for events where a failure can endanger life, limb or health.
The customer is responsible for the content their systems send to PagerDeck and for the selection of the data transmitted with it.
The customer keeps ingest keys, ingest addresses and access credentials secret. They are credentials and are shown in clear exactly once. If there is any suspicion that a key or an address has become known to third parties, the customer revokes it in the account without delay and informs Gonzi Tech.
The customer checks their rule chains and the pairing of their devices before productive use, in particular using the test delivery provided in the service. They keep the contact address of their account up to date: sign-in links, operational notices and invoices all go through it.
Which uses are prohibited, and what happens in the event of a breach, is set out in the section on acceptable use.
PagerDeck accepts alerts, sends push notifications and operates a mail intake under in.pagerdeck.com. The following are prohibited in particular:
In the event of a breach, Gonzi Tech asks the customer to remedy it and blocks the source or the account concerned once the period set has expired without result. Where there is imminent danger, in particular ongoing abuse, active malware or a threat to third parties, the block is imposed immediately and the customer is informed without delay afterwards. Serious or repeated breaches give rise to a right of termination for cause.
The customer indemnifies Gonzi Tech against third-party claims based on a breach of these rules for which the customer is responsible, including reasonable costs of legal defence. Costs incurred by Gonzi Tech through the abuse, in particular the effort of clean-up and of removal from blocklists, are borne by the customer according to time spent. This is not a formality: the deliverability of in.pagerdeck.com and the reputation of the sending addresses are what alerting works on for every customer.
Every plan includes an allowance of alerts per month of the term, a maximum number of sources and a retention period. The values in force are stated under pricing and can be seen in the account.
Once the allowance of a period is used up, no alert of any level is delivered until the next period begins. Alerts are still accepted, remain in the history and are marked there as not delivered. Excepted are alerts covered by additional volume the customer has switched on.
Additional volume is an optional paid extension that only the holder of the account can switch on explicitly in the account; it is off by default. When switching it on, the customer chooses whether it covers only alerts the sender sends with the severity error or critical, or all levels, and a limit per month; rules that raise a level do not extend the scope. Every alert delivered beyond the allowance is charged at the price shown and confirmed when switching on, monthly in arrears to the saved payment method. Once the limit is reached, no further alert is delivered until the next period. The customer can switch the additional volume off at any time with immediate effect; alerts delivered until then are charged. If a payment for the additional volume fails or its price changes, PagerDeck switches it off until the customer switches it on again.
If an account reaches three times its allowance without the alerts above it having been delivered as additional volume, acceptance stops for that account entirely; not even a critical alert is accepted then, and the interface answers with an error stating when acceptance resumes. The allowance starts afresh every month; with annual billing on the same day of the month on which the billing year began, in shorter months on the last day of the month. Unused allowance does not carry over.
To protect operation, a limit applies to the acceptance rate per source. It prevents a single misconfigured source from impairing delivery for other customers.
Alerts are stored for the retention period of the plan booked and deleted automatically after that. Alerts already received keep the period that applied when they arrived. The customer is responsible for backing up any data they need beyond the retention period.
The customer reports faults without delay to support [at] gonzi [dot] tech and describes them so that they can be reproduced.
Subsequent performance is effected by remedying the fault. Gonzi Tech may also remedy a fault by an equivalent workaround where that is reasonable for the customer.
The statutory limitation periods apply to consumers. For traders, claims for defects become time-barred within twelve months. Claims based on intent, gross negligence, fraudulent concealment of a defect, assumption of a guarantee, and claims for injury to life, limb or health are excluded from this.
There is no defect where faults are due to improper use, to faulty configuration of sources or rules by the customer, to the settings or the condition of the receiving device, to faulty third-party software or to outages at upstream providers.
Gonzi Tech is liable without limitation for intent and gross negligence, for injury to life, limb or health, for fraudulent concealment of a defect, for the assumption of a guarantee and under the Product Liability Act.
In cases of simple negligence Gonzi Tech is liable only for breach of a material contractual obligation, that is an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In such cases liability is limited to the foreseeable damage typical for this type of contract.
For the loss of data Gonzi Tech is liable within the above provisions only up to the effort that would have been required to restore the data from a properly created backup.
Any further liability is excluded. This applies in particular to indirect damage, lost profit and damage arising from outages at upstream providers, network operators, the push services of the device platforms and third-party mail servers, insofar as Gonzi Tech is not responsible for them.
The above limitations of liability also apply in favour of the legal representatives, employees, vicarious agents and subcontractors of Gonzi Tech. They do not entail any change of the statutory burden of proof to the detriment of the customer.
Events of force majeure that substantially impede or prevent performance release the affected party from its obligation to perform for the duration of the disruption. These include in particular natural events, fire, large-scale power outages, failures of telecommunications networks, official measures, strikes, pandemics and large-scale attacks on network infrastructure.
The affected party informs the other party without delay. If the disruption lasts longer than six weeks, either party may terminate the affected contract for cause. Services already provided are to be remunerated.
Gonzi Tech processes personal data in accordance with the General Data Protection Regulation and the German Federal Data Protection Act. Details are set out in the privacy policy.
Insofar as the customer has personal data processed through the service for which they are the controller, in particular through the content of the alerts they send, the parties conclude a data processing agreement under Art. 28 GDPR before processing begins. The agreement is concluded under data processing in the account and is available there as a deed together with its annexes; on request at privacy [at] gonzi [dot] tech Gonzi Tech also provides it as a template.
So that the customer's rule chains can take effect, the service reads the content of the alerts. The customer decides what data their systems send and does not send personal data that is not necessary for the purpose of alerting.
Gonzi Tech obliges the persons it deploys to maintain confidentiality, maintains appropriate technical and organisational measures and engages sub-processors only in accordance with the data processing agreement. The data centres used are located in the European Union. Processing outside the Union takes place only in the cases named in the list of sub-processors and on the basis stated there.
Both parties treat all confidential information of the other party obtained in the course of the cooperation as confidential, in particular technical data, credentials and internal business matters, and use it solely to perform the contract.
This does not cover information that is publicly known, becomes known without breach of a confidentiality obligation, was developed independently or must be disclosed by statute or official order. In the latter case the disclosing party informs the other party in advance where permitted.
The confidentiality obligation applies for the term of the contract and for three years beyond its end. Statutory obligations to protect secrets remain unaffected.
The rule chains, sources, device names and other configurations the customer creates, as well as the content of the alerts their systems send, remain theirs. Gonzi Tech uses them solely to perform the contract and does not evaluate them for any other purpose.
Where Gonzi Tech creates rule chains, configurations or integrations specifically for the customer at their request, the customer receives, upon payment in full, a simple right, unlimited in time and territory, to use, modify and reproduce them within their own business. Passing them to third parties and sub-licensing require consent in text form.
General building blocks, templates, tools, procedures and know-how remain with Gonzi Tech and may continue to be used. The service itself, its software and its interfaces remain with Gonzi Tech in every case; the contract grants a right of use for a period and transfers no rights in the software. Open source components used are subject solely to their respective licence terms; Gonzi Tech states the licences used in text form on request.
PagerDeck is a service; no goods are delivered under this contract. Should items or storage media nevertheless be handed over in an individual case, they remain the property of Gonzi Tech until payment in full. For traders, title is retained until all claims arising from the ongoing business relationship have been settled.
The customer notifies Gonzi Tech in text form without delay of any third-party access to goods subject to retention of title, in particular of seizures. Traders may resell such goods before payment in full only in the ordinary course of business; the customer hereby assigns the resulting claims to Gonzi Tech up to the invoice value, and Gonzi Tech accepts the assignment.
The customer's own data is never withheld. That applies in the event of payment default as well: the history and the configuration of an account remain retrievable for as long as the account exists.
Gonzi Tech continues to develop the service. Changes that do not substantially restrict the agreed scope of services are permitted at any time. A substantial restriction of the scope of services is announced in text form at least six weeks in advance; the customer may then terminate the contract with effect from the date the change takes effect.
Gonzi Tech may amend these terms where this is necessary to adapt to a changed legal situation, to supreme court case law, to changed technical conditions or to an extension of the range of services, and where this does not place the customer at an unreasonable disadvantage.
The amendment is announced to the customer in text form at least six weeks before the planned date it takes effect. For traders the amendment is deemed accepted if the customer does not object in text form before that date; the announcement points out separately what silence means and that a right to object exists. For consumers an amendment only takes effect if the consumer expressly agrees to it. Silence on the part of a consumer does not count as agreement.
If the customer objects, or a consumer does not agree, the contract continues on the previous terms. Either party may then terminate it as of the planned date the change was to take effect. Substantial changes to the content of the service and to the price are not made in this way.
For Lifetime plans, these provisions do not give Gonzi Tech a right of ordinary termination or the right to introduce recurring base fees. For consumers, statutory update obligations and the requirements, information duties and termination rights relating to changes to digital products under §§ 327f, 327r and 327s BGB remain unaffected.
For the out-of-court settlement of disagreements you can reach us at support [at] gonzi [dot] tech. We aim to resolve every matter directly with the customer.
Gonzi Tech is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration body (§ 36 VSBG).
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers habitually resident in another state, the mandatory consumer protection provisions of that state remain unaffected.
If the customer is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship is Frankfurt am Main. Gonzi Tech remains entitled to sue at the customer's general place of jurisdiction.
The customer may transfer their rights and obligations under this contract to a third party only with the prior consent of Gonzi Tech in text form. Consent may not be withheld without good reason.
There are no oral side agreements. Amendments and additions to the contract require text form. This also applies to any amendment of this text form clause. Where these terms conflict with an individual agreement in text form, the individual agreement prevails.
In all other respects the statutory provisions apply.
Should individual provisions of these terms be or become wholly or partly invalid or void, the validity of the remaining provisions is not affected. The same applies if these terms turn out to have a gap.
The statutory provisions take the place of the invalid or void provision and fill any gap. No replacement by what was intended economically takes place, because such a replacement clause would be invalid against consumers under § 306(2) BGB.
